1. Introduction

Welcome to CGP360 ("we", "us"). These Terms & Conditions ("Terms") govern your access to and use of our website and services. By using our website or engaging our services, you agree to these Terms.

2. Services

We provide marketing services for clinics (with focus on dentists and psychiatrists), including local SEO, review & reputation systems, advertising, landing pages, telehealth enablement, and automation. The scope, deliverables, and timelines are defined in the proposal or order form for each engagement.

3. Your Responsibilities

• Provide accurate information, timely approvals, and access to required accounts (e.g., Google Business Profile, ad accounts, website hosting).
• Ensure you have the rights to any materials (logos, images, copy) shared with us for use.
• Comply with all applicable laws, medical board rules, and platform policies related to your clinic and advertising.

4. Ethical & Compliance Commitments

• We use consent-first messaging and avoid sending Protected Health Information (PHI) via SMS/WhatsApp/email.
• Ad content and claims must comply with applicable healthcare advertising policies and local regulations.
• We may decline to run campaigns or publish content that we consider non-compliant, misleading, or unsafe.

5. Fees, Billing & Ad Spend

• Fees for our packages are listed on the Pricing page unless otherwise specified in a proposal.
• Ad spend (e.g., Google/Meta) is billed separately and paid directly to the platforms or via a mutually agreed method.
• Invoices are due upon receipt unless otherwise agreed in writing. Late payments may pause services.

6. Reviews & Reputation

We provide tools and templates to request reviews from patients who have consented to be contacted. You are responsible for ensuring invitations are sent only to appropriate recipients, and for responding to reviews without disclosing PHI or confirming patient status.

7. Confidentiality & Data

We keep your non-public information confidential and use it only to deliver services. Our Privacy Policy explains how we collect and process personal data. You agree not to share any patient PHI with us via insecure channels.

8. Intellectual Property

• Pre-existing IP owned by either party remains that party’s property.
• Upon full payment, you receive rights to deliverables created for you (e.g., page designs, copy) except for third‑party assets licensed under their own terms.

9. No Medical Advice

Our materials and campaigns are for marketing purposes only and do not constitute medical advice. Clinical decisions should be made by licensed professionals.

10. Disclaimer; Limitation of Liability

We provide services on an "as is" basis and do not guarantee specific results (rankings, revenue, or patient counts). To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees paid to us in the three (3) months preceding the event giving rise to the claim.

11. Termination

Either party may terminate with written notice per the proposal terms. Upon termination, we will deliver in-progress assets where feasible and due. Outstanding fees remain payable.

12. Governing Law

These Terms are governed by the laws of India. Courts in Patna, Bihar shall have exclusive jurisdiction, unless otherwise required by law.

13. Updates to These Terms

We may update these Terms from time to time. The latest version will be posted on this page with the effective date.
